Isaiah earned his law degree at the NYU School of Law in 1991.
He is admitted to practice in Connecticut and New York, and to practice before the United States Tax Court.
From 1994 to 1996, he was associated with the tax, trust and estates and business firm of Withers Bergman LLP (formerly Bergman, Horowitz & Reynolds, P.C.) in New Haven, Connecticut.
In 1996, in order to gain more experience with private placements and business transactions, Isaiah took a position at McElroy, Deutsch, Mulvaney & Carpenter/PH, LLP (formerly Pepe & Hazard LLP) in Hartford.
If the businessperson has already negotiated the basic terms for the transaction, the team at Cooper Law LLC may draft a letter of intent or another preliminary term sheet.
A written binding commitment from the other party to move forward in good faith to definitive documentation of all the terms in the letter of intent.
The other party's agreement not to shop around for another buyer, either for a set period of time or for as long as negotiations are moving forward toward final documentation.
We will also provide advice to buyers and sellers on the basic conflict between the buyer's interest in acquiring the assets of the company free of any associated liabilities and the seller's interest in selling the stock of the company with all associated liabilities.
For debt and lending transactions, the team at Cooper Law LLC will negotiate, draft, prepare, provide and/or review the necessary resolutions for the corporation or other entity, credit agreements, notes, security agreements, guarantee agreements, subordination or intercreditor agreements, patent collateral security agreements, trademark collateral security agreements, assignment and assumption agreements, hazardous substance indemnity agreements, mortgage agreements, accounts receivable letters, opinions and small business investment company (SBIC) forms.

Creating contractual incentive interest plans for limited liability companies (LLCs) that may provide employees with a share in the proceeds from capital transactions or a share in profits.
