Business Law Center
Website
The Business Law Center, PLC is an *AV rated business boutique law firm specializing in the representation of closely held businesses in multiple commercial areas including software development, distributorships and sales representatives, intellectual property, licensing, financial services, retail, internet, medical services and real estate development.

The principal focus of the Business Law Center is solving problems for business owners. Too often the legal system and the intervention of lawyers into business problems make problems larger rather than smaller. We encourage our clients carefully consider their options and the implications of their business decisions in the beginning when business relationships are being formed rather than addressing them after problems have surfaced.

At the Business Law Center, we apply years of expertise to carefully address legal issues at the outset, so that when legal issues arise in the future, disputes are avoided or easily resolved. If you desire creative, efficient and a focus on problem-solving, contact the Business Law Center.

The most significant changes will be to the governance structure of LLCs.
The new act says that Minnesota LLCs can be managed by its members, a board of governors, or managers.
The new default is that the LLC will be member managed.
This change allows LLCs to avoid multiple layers of governance and will let LLC members operate more as business partners.
The operating agreement can be oral or even implied.
This means that any oral or written communication among the members could fall within the definition of operating agreement and would be enforceable.

Deferred compensation plans are a way for highly paid employees to save more money than their 401(k)'s typically allow for.
By deferring earned income, the employee is able to defer taxes until after retirement, when the employee's tax bracket is more favorable.
This allows for individuals to supplement their income after retirement.
The plan, however, comes with risks.
